Professional B2B Manufacturing Agreement

Agreement Overview

These Terms of Service ("Terms") govern the business relationship between DriveTron Technology Co., Ltd. ("DriveTron," "we," "us," or "our") and our business partners ("Client," "you," or "your") for OEM/ODM electric scooter manufacturing services. By engaging our services, you agree to be bound by these terms.

1. Business Scope and Services

1.1 Manufacturing Services

DriveTron provides comprehensive B2B manufacturing services including:

  • OEM/ODM electric scooter development and production
  • Industrial design, UI design, and packaging design
  • Structure design and mold tooling development
  • Quality control and certification assistance
  • Large-scale production and supply chain management

1.2 B2B Only Policy

DriveTron exclusively serves business clients including international brands, distributors, importers, wholesalers, and companies developing private-label products. We do not engage in retail business or direct consumer sales.

2. Order Process and Requirements

2.1 Minimum Order Quantities

As a professional manufacturer, we maintain minimum order requirements:

  • Standard products: Minimum 50 units per model
  • Customized products: Minimum quantities vary based on customization level
  • OEM/ODM projects: Subject to separate agreement

2.2 Quote and Order Confirmation

All orders require written confirmation including specifications, quantities, pricing, delivery terms, and payment conditions. Quotes are valid for 30 days unless otherwise specified.

3. Payment Terms and Conditions

3.1 Payment Schedule

  • Standard orders: 30% deposit, 70% before shipment
  • OEM/ODM projects: Payment milestones as agreed in separate contract
  • Tooling and development: 100% payment required before work commencement

3.2 Payment Methods

We accept bank wire transfers (T/T), Letters of Credit (L/C), and other internationally recognized payment methods. All banking fees are borne by the respective parties.

4. Quality Assurance and Warranty

4.1 Quality Standards

All products undergo strict quality control processes and comply with relevant international standards. We maintain comprehensive quality management systems and provide quality certificates upon request.

4.2 Manufacturing Warranty

We provide manufacturing defect warranty covering materials and workmanship issues. Warranty terms vary by product category and are specified in individual contracts. Warranty does not cover normal wear, misuse, or damage from improper handling.

5. Intellectual Property and Confidentiality

5.1 Custom Design Rights

For OEM/ODM projects, intellectual property rights of custom designs are transferred to the client upon full payment, unless otherwise agreed. DriveTron retains manufacturing know-how and process improvements.

5.2 Confidentiality

Both parties agree to maintain confidentiality of proprietary information, technical specifications, pricing, and business terms. This obligation continues for 5 years after termination of business relationship.

6. Delivery and Risk Transfer

6.1 Delivery Terms

Delivery terms follow Incoterms 2020 standards. Standard delivery is EXW (Ex Works) Ningbo, China, unless otherwise agreed. Shipping arrangements and costs are typically borne by the client.

6.2 Production Lead Times

  • Standard products: 15-30 days after deposit
  • Customized products: 30-60 days depending on complexity
  • OEM/ODM development: Timeline specified in project agreement

7. Limitation of Liability

DriveTron's liability is limited to the contract value of the specific order. We are not liable for indirect, consequential, or punitive damages including but not limited to:

  • Lost profits or business opportunities
  • Market regulatory changes affecting product compliance
  • Force majeure events including natural disasters, government actions, or supply chain disruptions

8. Governing Law and Dispute Resolution

8.1 Applicable Law

These Terms are governed by the laws of the People's Republic of China. Any disputes shall be subject to the jurisdiction of Ningbo courts, unless otherwise agreed in writing.

8.2 Dispute Resolution

Parties agree to first attempt resolution through good-faith negotiation. If unsuccessful, disputes may be submitted to arbitration under China International Economic and Trade Arbitration Commission (CIETAC) rules.

9. Modifications and Updates

DriveTron reserves the right to update these Terms to reflect changes in business practices, legal requirements, or industry standards. Clients will be notified of material changes via email or through our official communication channels. Continued business engagement constitutes acceptance of updated terms.
